If you own a corporation located in another state and want to conduct business in Tennessee, you will need a Certificate of Authority to operate in Tennessee. This is obtained by submitting paperwork as a foreign corporation with the Tennessee Secretary of State, Corporations Division. After you submit your forms, the State of Tennessee will return a filed certificate of authority to you. A Tennessee foreign corporation should not be confused with an out-of-country corporation. Any corporation not actually formed (created) in the State of Tennessee is considered to be a foreign corporation.
