Tennessee Foreign Corporation Registration

If you own a corporation located in another state and want to conduct business in Tennessee, you will need a Certificate of Authority to operate in Tennessee. This is obtained by submitting paperwork as a foreign corporation with the Tennessee Secretary of State, Corporations Division. After you submit your forms, the State of Tennessee will return a filed certificate of authority to you. A Tennessee foreign corporation should not be confused with an out-of-country corporation. Any corporation not actually formed (created) in the State of Tennessee is considered to be a foreign corporation.

We charge $100 plus the Tennessee state filing fee to prepare and file the foreign Tennessee Corporation Certificate of Authority form with the Corporations Division of the Tennessee Secretary of State. We also will obtain the forms needed from your home state of incorporation to make the filing.
